Ultimate Automation — Terms of Service

These Terms of Service (the "Agreement") govern your access to and use of Ultimate Automation, LLC (“UA,” “we,” “us,” or “our”). By accessing or using UA’s automation technology, website, software, or tools, you agree to be bound by these Terms.

1. Overview of UA Services

UA provides software-based automation technology that allows users to connect their brokerage account and execute rules-based trading strategies automatically. UA does not provide personalized financial, investment, tax, or legal advice. Users are solely responsible for their trading choices, settings, and risk management.

2. No Investment Advice

UA is not a registered investment adviser, broker-dealer, or commodity trading advisor. Any strategy you enable is chosen solely by you. Nothing presented by UA should be interpreted as a recommendation to buy, sell, or hold any security or instrument.

3. Hypothetical & Simulated Results

Past results are not indicative of future results.

UA may display hypothetical, simulated, or backtested performance results. These results have inherent limitations and are provided for informational purposes only. They do not represent actual trading. Hypothetical results are typically prepared with the benefit of hindsight and cannot account for emotional discipline, slippage, liquidity, outages, latency, partial fills, or broker execution differences.

You should assume that actual live trading results will differ—often significantly—from hypothetical results.

4. Strategy Leaders & Third‑Party Content

Some strategies available on UA may be authored by independent strategy leaders. These individuals are not employees, agents, or representatives of UA. UA does not endorse or guarantee the accuracy, reliability, or performance of any strategy. Strategy creators may be compensated for providing content or licensing their strategies.

5. Brokerage & Order Execution

All trading occurs in your brokerage account. UA never takes custody of funds. UA has no control over order routing, fill prices, slippage, partial fills, margin rules, account restrictions, or broker outages. Execution quality is determined solely by your broker.

You understand that automation signals may be delayed, blocked, rate‑limited, or rejected by the broker’s systems, network issues, or market conditions.

6. Risks of Trading & Automation

Trading stocks, options, futures, or leveraged products involves substantial risk of loss. Automated trading carries unique risks including but not limited to:

  • Server & API outages
  • Incorrect user settings
  • Delayed market data
  • Slippage & liquidity issues
  • Broker restrictions or rejections
  • Technology failures or interruptions

You should assume you may lose money. Do not trade with capital you cannot afford to lose.

7. Fees, Billing & Refunds

UA charges a flat setup fee and a recurring monthly maintenance fee. These fees compensate UA for software access, infrastructure, servers, API integrations, development, and support. All setup fees are earned upon activation and are non‑refundable. Monthly fees are billed in advance and non‑refundable for the current billing period.

8. User Responsibilities

  • You are responsible for monitoring trades and maintaining adequate funds & margin.
  • You must review your broker statements to verify accuracy.
  • You must understand the strategies you choose to enable.
  • You should begin in simulation to become familiar with automation behavior.

9. Limitation of Liability

UA is not liable for trading losses of any kind. UA is not responsible for lost profits, lost data, trading losses, indirect or consequential damages. UA’s total liability for any claim shall not exceed the amount paid to UA in the 12 months prior to the claim.

10. Dispute Resolution & Arbitration

All disputes shall be resolved through binding arbitration on an individual basis. No class actions, collective actions, or representative actions are permitted. Venue and governing law shall be the state and county of your business registration.

Governing Law & Venue: All disputes shall be governed by the laws of the State of California.
